Alan Golub and Eric Tomaszewski recently obtained the discharge of a construction lien claim asserted by the tenant of a gasoline service station. The lien claim asserted that the tenant had or would incur over $200,000 in environmental investigation and remediation costs, that such costs were for the sole benefit of the owner of the property, and were thus the proper subject of a construction lien claim. On behalf of the property owner, Golub & Isabel moved to dismiss on several grounds, including the tenant’s failure to comply with several procedural requirements of New Jersey’s Construction Lien Law (the “Lien Law”), and the fact that the tenant was not a “contractor” under the Lien Law, with no contract to render services to the owner. On the eve of oral argument on the motion, counsel for the tenant conceded that the lien was improper, and advised the Court that the lien would be voluntarily discharged.

Daniele Cervino recently completed the environmental due diligence on behalf of a regional water company that is in the process of acquiring a New Jersey water and sewer company. She oversaw all aspects of the due diligence, from contract negotiations to document review and environmental studies.

Alan Golub successfully represented a mid-sized corporate client in obtaining a pre-arbitration settlement of a breach of contract action. The claims involved the respondent’s failure to pay invoices for marketing and promotional expenses rendered in 2005 and 2006. The contract for services included an arbitration provision, as well as a provision providing for legal costs and expenses to the prevailing party. The terms of the settlement not only made the client 100% whole, but required the respondent to pay the majority of the legal fees and expenses incurred in connection with filing and pursuing the arbitration proceeding.

Daniele Cervino was successful in obtaining a cost sharing agreement from two insurance carriers from the 1970’s to 1980’s for a property owner that recently discovered dry cleaning contamination. The agreements were obtained without the need to institute a lawsuit.

At the Tri-County Chamber of Commerce’s Annual Luncheon and Induction Ceremony today, Alan Golub was sworn in for a one year term as the Vice-Chairperson of the Tri-County Chamber of Commerce. In the Vice-Chair position, Mr. Golub will assist the new Chair, Christopher Wegman, in directing all Chamber efforts over the coming year, and is next in line to assume the role of Chair in June 2009. Mr. Golub will also continue to serve the Chamber in his roles as a member of the Executive Board, the Board of Directors, and as Vice President of Membership.

David Isabel represented a municipal authority in reaching a complex settlement of several consolidated environmental litigations brought under the Resource Conservation and Recovery Act (RCRA) related to extensive chromium contamination located on 40 acres of property in Hudson County, New Jersey. The novel settlement will ensure that chrome and other historic contamination will be permanently remediated before a variety of commercial, residential and recreational uses are established on the property as part of a redevelopment plan negotiated for the area. Until the municipal authority is relocated, air and medical monitoring programs will continue to be performed to verify that public health and safety are protected. The implementation of the terms of settlement related to the remediation of chrome will also be overseen by Special Master, Senator Robert G. Torricelli.

Prior to private practice, Michelle served as a judicial clerk to now retired Justice Gary S. Stein of the New Jersey Supreme Court. We are pleased to announce that Daniele Cervino has joined the firm as Of Counsel. Daniele is a 1986 graduate of Muhlenberg College and a 1989 graduate of Pace University School of Law. She is a member of both the New Jersey and New York State bars. Daniele will continue to concentrate her practice on environmental regulatory and transactional issues. She has represented clients in environmental due diligence, risk assessment, and risk mitigation and cost recovery counseling. She has extensive experience in negotiating environmental insurance policies and related insurance claims, and has negotiated dozens of insured fixed price remediations.

We are pleased to announce that Thomas J. Perry has joined the firm as partner. Tom is a 1981 of the United States Military Academy at West Point and 1992 graduate of Seton Hall University School of Law. He is a member of both the New Jersey and New York bars. Tom will continue to concentrate his practice in reinsurance and commercial litigation. He has contributed towards setting a number of important reinsurance precedents in the State and Federal courts in New Jersey and New York. Tom has also successfully argued before the New Jersey Supreme Court in conjunction with his commercial litigation practice.

Eric Tomaszewski obtained the dismissal of a claim brought under the New Jersey Spill Compensation and Control Act (“Spill Act”) against the sole shareholder of a closely held New Jersey corporation that operated a gasoline service station in the 1970’s. The plaintiff asserted personal liability of the shareholder based on his active involvement in the daily operation of the business. On behalf of the shareholder, Golub & Isabel argued that under New Jersey law, plaintiff could only pierce the corporate veil and assert shareholder liability upon a showing of fraud, which under the NJ Court Rules must be pled with specificity. The court agreed, and dismissed plaintiff’s claim for failure to plead circumstances justifying the piercing of the corporate veil. The decision provides important guidelines regarding the scope of shareholder liability under the Spill Act. Eric Tomaszewski argued the motion for the shareholder, with Alan S. Golub and Eric Tomaszewski on the brief.
